REQUIRED DOCUMENTS:

  • Copy of Cédula (Dominican identification document) or complete passport (if foreigner) of shareholders
  • The company President must draft a letter notifying the Dominican tax authority (DGII) of the company bylaw amendment. The letter must be printed with the company’s letterhead and must include, if modification of capital: company name, description of amendment and the current and new capital. If there will be a name modification the letter must include the current and new name.

1. How long does it take to make Company Bylaw Amendments?
A capital or name modification takes approximately 15 business days once the required information has been submitted.

2. Do I have to pay taxes for Company By-Law Amendments?
When modifying the company’s capital the corresponding taxes to be paid are based on the difference between the actual and new capital at the Dominican tax authority (DGII). When modifying the company’s name the fees for new name registration must be paid as well at the National Office of Intellectual Property (ONAPI). For both modifications, the fee for the Mercantile Registry, established by the Chamber of Commerce and Production must be paid in addition to the before mentioned. It is important to mention these expenses are already included in the total service fee.
